Terms of Service

These Terms of Service ("Terms") govern the use of the services provided by Organic Media Buying ("OMB," "we," "us," or "our"), including our website at organicmediabuying.com (the "Site") and our creator-based media buying services (the "Services"). By engaging our Services or using the Site, you ("Client," "you") agree to these Terms.

1. Our Services

OMB provides organic media buying services: we coordinate a network of independent content creators on platforms such as TikTok and Instagram to feature or mention your brand in their content, with the goal of delivering an agreed number of organic views at an agreed fixed price per 1,000 views (CPM).

The specific scope of each engagement — including the view target, CPM rate, total budget, campaign duration, target markets, and platforms — is defined in a separate written agreement, order form, or campaign brief (each, an "Order") signed or approved by both parties. In case of conflict between an Order and these Terms, the Order prevails.

2. View Guarantee

We guarantee delivery of the number of views specified in your Order ("View Target") within the campaign period stated in the Order, subject to Section 6 (Client Obligations) and Section 12 (Force Majeure). If we fail to deliver the View Target, you are entitled to a remedy as described in our Refund Policy, which forms part of these Terms.

Views are measured using the native analytics of the relevant platform (e.g., TikTok or Instagram view counts) as reported in our campaign dashboard and reports. These platform-reported figures are the authoritative measurement for the purposes of the guarantee.

3. Payment Terms

Fees are stated in the Order. Unless the Order says otherwise:

  • Payment is due before campaign launch, via the payment methods we make available (including payment links and invoices processed by Stripe).
  • All fees are stated in US dollars and are exclusive of any applicable taxes, which are the Client's responsibility where required by law.
  • Late payments may delay campaign launch and shift delivery timelines accordingly.

4. Campaign Process

Typical campaigns run 2–4 weeks from launch. Setup (creator selection, briefing, and content preparation) typically takes 3–5 business days after payment and receipt of all required Client materials. Timelines in Orders are good-faith estimates unless expressly stated as guaranteed.

5. Creators and Content

Creators in our network are independent contractors, not employees or agents of OMB. Creators produce content in their own style and voice. While we brief creators on your brand and campaign goals, you acknowledge that:

  • We do not script creator content word-for-word, and creative execution may vary between creators.
  • We will make commercially reasonable efforts to ensure content is accurate and consistent with your brief, and we will require correction or removal of content that materially misrepresents your brand.
  • All creator content is published with sponsorship disclosures as required by applicable advertising rules (including FTC guidelines and equivalent local rules).

Unless otherwise agreed in the Order, creators retain ownership of their content, and you receive the right to view, share, and reference campaign content and results. Licensing of creator content for your own paid advertising ("whitelisting" or usage rights) must be agreed separately.

6. Client Obligations

You agree to: (a) provide accurate brand materials, guidelines, and approvals within the timeframes needed to keep the campaign on schedule; (b) ensure that your products, services, and any materials you provide comply with applicable law and do not infringe third-party rights; and (c) not engage in industries or promotions we notify you are unsupported (e.g., illegal products or services).

Delays or failures on your side (late materials, withheld approvals, campaign pauses at your request) extend our delivery deadlines by the corresponding time and do not constitute a failure of the View Guarantee.

7. Confidentiality

Each party will keep the other party's non-public business information confidential and use it only for purposes of the engagement. Campaign results may be used by OMB in anonymized or aggregate form; use of your brand name in our marketing (e.g., case studies) requires your prior consent, which may be given in the Order.

8. Intellectual Property

You retain all rights to your trademarks, logos, and brand materials, and you grant OMB and participating creators a limited license to use them solely to perform the Services. OMB retains all rights to its methodology, creator network, dashboard, and business processes.

9. Disclaimers

Except for the View Guarantee expressly stated in Section 2, the Services are provided "as is." We do not guarantee any particular business outcome, including sales, conversions, engagement rates, follower growth, or revenue. Views delivered are organic exposure; how audiences respond is outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, OMB's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount paid by the Client for the specific Order giving rise to the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost business, even if advised of the possibility.

11. Indemnification

You will indemnify OMB against third-party claims arising from your products or services, materials you provide, or your breach of these Terms. OMB will indemnify you against third-party claims that our Services, as provided, infringe third-party intellectual property rights.

12. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including platform outages, platform policy changes or account actions by TikTok/Instagram, internet failures, or governmental actions. Delivery deadlines are extended for the duration of such events.

13. Term and Termination

Either party may terminate an Order for material breach if the breach is not cured within 14 days of written notice. You may cancel a campaign as described in our Refund Policy. Sections 7–11 and 14–15 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes amicably; failing that, disputes will be resolved in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

15. General

These Terms, together with the applicable Order and the Refund Policy and Privacy Policy, are the entire agreement between the parties regarding the Services. We may update these Terms from time to time; the version in effect at the time an Order is placed applies to that Order. If any provision is unenforceable, the remainder stays in effect.
